MyTransit is committed to improving urban mobility. Our goal is to help people navigate public transit more easily, stay informed about service conditions, and access transit information and tools more efficiently. MyTransit (“MyTransit”, “we”, “us”, or “our”) is pleased to provide you (“User”, “you”, or “your”) with access to our mobile application(s) (“App”), our website at https://MyTrans.it, as well as any other sites operated by MyTransit (collectively, “Site” or “Sites”), and associated public transit information and additional content. Together, these are referred to collectively as the “Service” or “Services”.

These Terms of Service govern your access to and use of the Service provided by MyTransit. By accessing, connecting to, or using the Service, you expressly acknowledge that you have read and understand these terms and conditions, as well as our Privacy Policy available at https://MyTrans.it/privacy (collectively referred to as the “Terms”). These Terms establish a legally binding contract between you and MyTransit regarding your use of the Service. You agree to be bound by these Terms and to comply with all applicable laws and regulations related to your use of the Service. These Terms expressly supersede any prior agreements or arrangements with you.

We encourage you to review these Terms carefully, as they contain important information regarding limitations of liability, disclaimers of warranties, and other terms that affect your legal rights.

BY USING THE SERVICE, YOU ACKNOWLEDGE YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS OR DO NOT HAVE THE AUTHORITY TO AGREE TO THEM, PLEASE DO NOT DOWNLOAD OR USE THE APP OR ACCESS THE SERVICE.

1. Privacy Policy

MyTransit takes your privacy seriously and aims to protect the data and information you share with us. Information on our data practices, the types of data we collect, and how we use that data is provided in our Privacy Policy, which can be accessed at https://MyTrans.it/privacy. By choosing to use our Service, you acknowledge that you have read, understood, and consented to the terms outlined in our Privacy Policy.

2. Changes to These Terms

MyTransit reserves the right to modify, amend, or update these Terms, including our Privacy Policy, at any time, at its sole discretion. Such changes will be effective as follows: (a) Major Changes: For significant changes that materially affect your rights or obligations, MyTransit will provide notice through the Service (e.g., in-app notifications or email) at least 30 days prior to the changes taking effect. During this period, you may continue using the Service under the existing Terms. Your continued use of the Service after the 30-day notice period will constitute your acceptance of the new Terms; (b) Minor Changes: For changes that do not materially affect your rights or obligations, the updated Terms will become effective 7 days after posting on the Service. MyTransit may notify you of these changes via the Service, but it is your responsibility to review the Terms periodically. Your continued use of the Service after the 7-day period will constitute your acceptance of the new Terms.

3. Services

MyTransit develops, owns, curates and manages a rich array of content intended to enhance urban mobility, including but not limited to, software, textual data, graphics, and imagery ("MyTransit Content"). The principal data, such as transit routes, timetables, locations of public transit, and other similar information is sourced and aggregated from external third parties like transit agencies and mobility service providers. This information comes from third-party sources and may be supplemented, enhanced or enriched by our own proprietary algorithms considering variables like traffic and weather conditions, ongoing detours, passenger loads, or operational changes. As a result, MyTransit serves as a central hub for aggregating, organizing and presenting this information, delivering real-time, actionable transit data.

While MyTransit and our third-party core data providers strive to keep the information accurate and up to date, complete verification of all information in real-time isn't always possible. If inaccuracies or gaps occur in the data provided to MyTransit by third parties, this can affect the effectiveness of the App and Services. MyTransit cannot not guarantee the accuracy of information provided by third-party sources and is in no way liable for any discrepancies, errors, or omissions in such data or other information provided in the App or Services. You further acknowledge and agree that MyTransit will not be responsible or liable for any direct, indirect, incidental, or consequential damages or losses that may be caused, or are alleged to be caused, by or in connection with the use of, reliance on, or absence of any services, content, products, or other items or materials available through this information or any third-party services.

Our App and Services make use of precise geolocation data, including GPS signals and other details from your device, to activate essential functions of our services. These technologies are crucial for delivering the comprehensive features you rely on. Some features of the Service rely exclusively on this technology and cannot function without it. MyTransit may collaborate with and provide data to independent third-party service providers through our Service. These third-party providers operate independently, and MyTransit does not assume responsibility or liability for their actions, nor do we represent or guarantee the availability of their services. You acknowledge and agree that MyTransit will not liable, directly or indirectly, for any damage or loss that may arise from your use of or reliance on these third-party services, or from the unavailability of any goods, services, content, products, or materials they provide.

4. Limited Use Right

The App, Service, and any intellectual property associated with the Services are not sold to you. Instead, you are granted a limited license to access the Service and use it for personal and non-commercial purposes.

Subject to your ongoing compliance with the terms herein, and contingent upon the continued availability of the Services, you are granted a limited, revocable, non-exclusive, and non-transferable license to access the Service. It is expressly understood that this license does not extend to any rights to directly access the underlying software, databases, algorithms, or data that facilitate the operation of the Services, nor does it grant you any rights to access the source code or underlying architecture of the Services.

Our goal is to provide you with access to the Services. As detailed in this agreement, we do not assume responsibility for, nor can we control, any other issues that may arise from your use of the Services.

The rights granted to you under these Terms are solely for personal, non-commercial use. These rights are not transferable to any other person or entity, are not intended for commercial exploitation, and do not confer any enterprise-wide usage rights.

5. Changes to the Service

By using the Service, you acknowledge and agree that MyTransit is not liable for any modifications, interruptions, or the cessation of the Service or any aspect of thereof, whether to individual users, any third-party, or the general public. MyTransit reserves the right to update, change, correct, remove, refine, or improve the Service, including any information, content, or features within, at any time and without prior notice. These changes may be temporary or permanent and may include, but are not limited to, amendments to the information or content, alterations in functionality, or the discontinuation of all or certain aspects of the Service. Such changes may be driven by the development team’s desire to improve user experience, respond to user feedback, comply with legal requirements, or optimize service performance.

Furthermore, the content delivered through the Service, including text, graphics, and other information, is subject to change, and may be expanded, reduced, updated, or removed at our sole discretion at any time. MyTransit is not obligated to provide notifications of such changes. You accept that these changes may occur and that MyTransit does not owe any duties of restitution, compensation, or claims for inconvenience or disruption.

6. Eligibility Requirements

By using the Service, you agree to these Terms, and represent and warrant for the entire duration of your use of the Service that: (a) You possess complete authority to agree to these Terms, and no restrictions, limitations, contractual obligations, or statutory obligations hinder or prevent your ability to fulfill your responsibilities under this Agreement; (b) You are at least sixteen (16) years old, and you may not use the Service if you are under sixteen (16); (c) If you are entering into this agreement by using the Service on behalf of a company, organization or any other entity, you represent and warrant that you possess the necessary authority to bind such entity to these Terms, and you are fully agreeing to these Terms on its behalf; (d) You have no prior suspensions or removals from the Service which would prevent your use; (e) You will not allow or authorize any third party to engage in actions, activities, or behaviors that breach the Terms of this Agreement; (f) You confirm that your use of the Service complies with all applicable laws and regulations in your jurisdiction and that you will adhere to all the stipulations of these Terms.

7. Restrictions & Prohibited Activities

Your use of the Services is subject to strict limitations as outlined below. These restrictions are designed to protect the integrity of the Service and ensure a safe and compliant environment for all users. Non-compliance with these rules, as determined solely by MyTransit, may lead to the suspension or termination of your access to the Services and may subject you to legal action, both civil and criminal.

You are prohibited from engaging in the following activities, either directly or through any third party: (a) Decompiling, disassembling, reverse engineering, copying, modifying, investigating, adapting or translating any part of the App or Service, or accessing any non-user interface areas of the App, or using unauthorized methods to interact with or access the Service; (b) Bypassing or undermining any security features or technological safeguards implemented in the Service; (c) Utilizing or presenting the Service in a manner that extracts or derives information about the Services not intended for user disclosure; (d) Employing automation tools or scripts, including but not limited to indexers, data miners, bots, scrapers, or other similar technologies, to access the Service; (e) Creating a repository, database, cache, backup, or any other form of data aggregation through download, storing, copying, or archiving content or information from the Service; (f) Displaying, replicating, copying, framing or mirroring any part of the Service without express written consent from MyTransit; (g) Introducing spyware, ransomware, adware, viruses, worms, Trojan horses, keyloggers, bugs, or other malicious or harmful code intended to affect the operation of any hardware, software, or telecommunications system or equipment related to the Service, or to improperly access, exfiltrate, or compromise data or personal information associated with the Service; (h) Disrupting or interfering with the operation of the Service in any way, including, but not limited to, affecting the servers and networks connected to the Service, or failing to comply with the rules, policies, or procedures of these networks or servers; (i) Engaging in or facilitating spam, unsolicited communication (whether by mail, electronic, or other means), harassment, wire fraud, or other similar misconduct through the Service; (j) Infringing on the privacy or other rights of users or third parties associated with the Service, including but not limited to intellectual property rights, or collecting users’ personal information, via any automatic or manual process; (k) Engaging in harassment, discrimination, defamation, intimidation, abuse, cyberbullying, impersonation, stalking, unlawful surveillance, making threats, invading privacy, or otherwise violating the legal rights of others; (l) Falsely assuming the identity of any individual or entity, delivering false, deceptive, or misleading information, or misrepresenting your own identity in any manner; (m) Employing the Service for any non-personal or commercial purposes, including but not limited to selling, licensing, or otherwise exploiting any aspect of the Service, without the express written consent of MyTransit; (n) Utilizing the Service for unlawful, unethical, or unauthorized purposes;

8. Intellectual Property

All intellectual property rights associated with the App, Service, and any parts of thereof, including, but not limited to, the design and its elements, layouts, color schemes, graphics, images, logos, icons, User Content, and the arrangement and compilation thereof, as well as MyTransit’s proprietary software, algorithms, and any related intellectual property rights, are either owned by MyTransit absolutely and in their entirety or licensed to MyTransit.

These rights include, without limitation, copyrighted works, trademarks (whether registered or unregistered), patents, pending patent applications, inventions, trade names, graphical materials, textual content, images, logos, graphical user interfaces (GUIs), the designs and its elements (including the comprehensive visual identity, overall look and feel, and user experience of the App, Service, or any of their components), database rights, methodologies, processes, trade secrets, know-how, technical specifications, interfaces, interactive functionalities, source and object code, data, files, and other related rights recognized globally, along with the right to seek protection for the same, whether registered or not and regardless of their registration potential (collectively, “Intellectual Property”).

You are prohibited from engaging in any activities that involve distributing, copying, publicly displaying or performing, making available to the public, modifying, adapting, emulating, translating, disassembling, decompiling, reverse engineering, or otherwise attempting to derive the source code or create derivative works from any part of the Intellectual Property. Additionally, you may not license, sublicense, sell, rent, lease, lend, commercialize, process, compile, merge, or incorporate any portion of the Intellectual Property with other software or content, or reduce it to human-readable form, without the express written consent of MyTransit. Furthermore, you are prohibited from removing or altering any copyright, trademark, or other proprietary notices embedded within the Service, as well as from using any names, marks, or logos that could be confused with those owned by MyTransit.

All other trademarks, logos, service marks, company names, or product names mentioned or displayed on the Service are the property of their respective owners. No rights or licenses are conveyed to you through these Terms, except as specifically provided herein, and you agree not to claim or challenge such rights.

9. Availability of Service

Your access to and the seamless operation of the Service rely on multiple external and internal factors, including but not limited to network systems and connectivity, server and internet service provider availability, hardware reliability, device configurations, system updates, software and device compatibility, power outages, and the performance of MyTransit's partners, vendors, service and hosting providers, and other third-party entities. These factors may affect your ability to access or use the Service without interruption or error.

MyTransit does not warrant or guarantee that the Service will operate without outages, disturbances, slowness, or that it will be free from errors or immune to unauthorized access, breaches, or intrusion. Additionally, maintenance, updates, or technical difficulties may render the Service temporarily unavailable. MyTransit is committed to ensuring the highest possible service level and will make reasonable efforts to minimize any inconvenience to users.

Please be aware that certain features and functionalities may also depend on the network conditions and capabilities of your device, and MyTransit cannot guarantee optimal functionality under all conditions.

10. External Services

Some aspects or features of our Service may depend on, connect to, feature links to, or integrate with various external services, live data feeds, data sources, websites, or advertisements (collectively referred to as “External Services”), which are independently managed and operated by third parties over whom we have no control or influence regarding their content or availability.

Each External Service, including advertisers, may operate under its own set of legal terms and privacy policies, and we recommend that you review these documents thoroughly before engaging with them.

You acknowledge that MyTransit is not responsible for the functionality, content, or availability of these External Services or features of the Service which may be dependent on them, nor does MyTransit endorse or assume liability for any content, products, services, advertisements, or other materials provided by or associated with them. You further agree that MyTransit will not be held accountable for any direct or indirect damage or loss caused, or alleged to be caused by the use of, reliance on, or in connection with any content, goods, services, advertisements, or information available through External Services.

11. User Provided Content

The Service may allow Users to submit various types of information or content, including but not limited to transportation-related information, textual or image data (collectively referred to as "User Content"). Submission of User Content may require a registered User Account. You agree and acknowledge that MyTransit will not be responsible or liable whatsoever, directly or indirectly, for any losses, damages, costs, or expenses incurred in connection with any activities related to User Content, including submission, consumption, distribution, modification, sharing, or reliance on such User Content. By submitting or interacting with User Content on the Service, you agree to follow the rules in the "User Provided Content" section and acknowledge that all other terms and conditions of these Terms of Service apply.

You agree and affirm that you will not submit any User Content that includes any of the following disallowed content, as well as any other content that may be deemed inappropriate or unacceptable under these Terms: (a) Content that infringes on the intellectual property rights of others, including uploading, posting, or otherwise disseminating materials without proper authorization from the copyright owner, this includes using copyrighted materials in a way that exceeds fair use or violates the explicit rights granted by the copyright owner; (b) Content that discriminates based on faith, race, ethnicity, gender, nationality, religion, socio-economic class, political view, occupation, sexual orientation, disability, illness or any other characteristic; (c) Spam, direct or indirect advertising, any form of unsolicited promotions, public or private contests, sweepstakes, raffles, commercial solicitation or any type of promotional material; (d) Confidential or proprietary information belonging to you or any other third-party, including but not limited to trade secrets, business information, or any other content that you are not legally permitted to disclose; (e) Content that reveals personal, private, or sensitive information about others without their consent, including but not limited to doxing, sharing private communications, or disclosing personal identifiers; (f) Illegal, unlawful, fraudulent, deceptive, threatening, abusive, defamatory, slanderous, harassing, offensive, obscene, pornographic, exploitative, or vulgar content; (g) False, misleading, or untruthful content, including but not limited to the deliberate dissemination of inaccurate information, deceptive statements, or fabricated content that could mislead or harm other users or third parties; (h) Content that could endanger personal safety, security, or health, or promotes behaviors or actions that are illegal or could result in criminal prosecution, civil liabilities, or other legal actions, this includes but is not limited to content that incites violence, endangers public safety, or advocates for illegal activities in violation of local, national, or international laws.

By submitting User Content via the Service, you hereby grant MyTransit permission to use and adapt such content, potentially without attribution. Additionally, you irrevocably waive any moral rights you may hold concerning your content, including the right to be recognized as the author and the right to oppose any derogatory treatments of your content that could harm your reputation. Furthermore, you grant MyTransit a perpetual, irrevocable, non-exclusive, royalty-free, transferable, worldwide license to use, display, perform, distribute, and create derivative works from such content, which includes sublicensing rights and the ability to spread such content across all existing or future media. Every user of the Service is also granted a non-exclusive, royalty-free license to access your User Content through the Service for non-commercial use. MyTransit will not be liable for how other Users or third parties use or misuse your content.

Furthermore, by submitting your User Content, you represent and warrant that: (a) Your User Content does not violate any third-party intellectual property or other rights, including privacy rights or copyrights; (b) You either hold legal ownership of the User Content you submit via the Service, or possess all requisite consents, permissions, rights, and licenses from the legitimate owners or individuals involved in such content, including consent from individuals appearing in photographs, where required by law; (c) You are solely responsible for securing any necessary consents required by applicable laws for any personal information included in the User Content, particularly in photographs, and you must comply with those laws.

MyTransit has no obligation to oversee or manage User Content submitted by you or other users and accepts no responsibility or liability for such content. MyTransit may act on complaints from users or content owners regarding User Content that allegedly violates these Terms and may remove such content at its discretion without notice. Furthermore, we reserve the right to remove, alter, or restrict access to any User Content at our sole discretion, at any time, and without prior notification, for any reason. Consequently, you are solely responsible for safeguarding and preserving your User Content by maintaining additional copies, and you must bear any expenses incurred in restoring such content if it is lost or removed.

You agree to bear sole responsibility for the User Content you submit and are accountable for any legal, social, or community consequences that may arise from its dissemination or publication. Furthermore, you affirm that the User Content you provide is truthful, up-to-date, and accurate, and you commit to ensuring it complies with all relevant laws and these Terms of Use.

12. MyTransit Plus Subscription

While the MyTransit App is available for free and provides full access to all features, users have the option to enhance their experience by subscribing to MyTransit Plus. This premium subscription is available in either monthly or annual plans. Subscribing to MyTransit Plus removes ads and provides access to additional features that enhance the usability and functionality of the app.

MyTransit Plus subscription can be purchased through Apple App Store, Google Play, or other third-party store or service authorized by MyTransit (collectively referred to as “Third-Party Store”) using your Apple ID, Google Play Account, or your third-party account with those services. Your account will be charged the subscription fees plus any applicable taxes at the time of purchase confirmation as per the terms disclosed by the Third-Party Store. MyTransit may, at its discretion, offer free trials for certain subscription plans. The details and duration of any free trial will be specified at the time of purchase.

Subscription rates may vary between Apple and Android platforms. MyTransit reserves the right to adjust prices or discontinue services at any time without prior notice. This includes limiting the availability of any feature, service, or promotion. Each subscription purchase may be used on a single device only. MyTransit reserves the right to modify, remove, or update the MyTransit Plus subscription or any of its features at any time. The extra features offered by MyTransit Plus are subject to change. We reserve the right to modify or discontinue features at any time without prior notice.

Subscription Details:
  • Monthly Subscription: Users can opt for a month-to-month subscription, which is billed at the beginning of each subscription period.
  • Annual Subscription: Users can choose an annual subscription which may be offered at a discounted rate compared to the monthly option. The total subscription fee is billed upfront at the beginning of the billing cycle.
Auto-Renewal, Cancellations and Refunds:
  • Auto-Renewal: Subscriptions automatically renew at the end of each period unless canceled, with renewal processes handled by the Third-Party Store through which you made the initial purchase. After your initial subscription period, and subsequently after each period, your subscription will renew at the rate and duration initially selected. If the initial purchase was at a promotional rate, the renewal price may revert to the full list price at the time of the initial purchase. By continuing your subscription without cancellation, you acknowledge and agree that it will automatically renew at the full price listed at the time of the initial purchase. You also authorize the Third-Party Store to charge your designated payment method accordingly.
  • Cancellation: You can cancel your subscription at any time through your Third-Party Store account settings. Upon cancellation, you will continue to have access to MyTransit Plus features until the end of the current billing period. Your subscription benefits will expire at the end of this period, and the subscription will not be renewed. No prorated refunds are offered for partially used periods.
  • Cancellation via Google Play: Cancellations of subscriptions made via Google Play are managed and processed by Google. To do this, open the Google Play app, tap the User icon, and then select on 'Payments & subscriptions' where you can find and cancel the relevant subscription. For more help or detailed steps on managing your subscriptions, you can visit Google's support page or seek assistance through the Google Play directly.
  • Cancellation via Apple App Store: Cancellations of subscriptions made via Apple App Store are managed and processed by Apple. To do this, open the Settings app, select your Apple ID, and then tap on 'Subscriptions' where you can find and cancel the relevant subscription. For more help or detailed steps on managing your subscriptions, you can visit Apple's support page or seek assistance through the App Store directly.
  • Refund Policy: All purchases are final and nonrefundable, except as required by law. Specific refund conditions may apply in certain jurisdictions. Refunds are managed by Third-Party Stores and are subject to the terms of these stores, which may vary by location. For details on refunds for please consult the support page for the respective Third-Party Store.

13. Governing Language

These Terms, along with any associated documents or notifications related to the Service, shall be executed and interpreted solely in English. This provision applies notwithstanding any language your device settings may display. You hereby agree that the English language version of these Terms is considered legally binding. In the event of a discrepancy between the English text and any translations provided for convenience in other languages, the English text shall prevail and be deemed the official version. This clause ensures compliance with legal standards and enhances understanding across all jurisdictions in which the Service operates.

14. User Feedback

When using our Service, you may choose to provide us with feature requests, comments, improvement suggestions, bug reports, notices of inaccuracies or omissions, or other feedback related to the Service, the content available on the Service, or any aspect of transit systems and services (collectively referred to as “User Feedback”), either through the Service or via any other communication method.

By providing User Feedback, you represent and warrant that any User Feedback you provide is not encumbered by any third-party rights or restrictions. If you become aware of any third-party rights or restrictions related to User Feedback you have provided, you agree to notify MyTransit promptly.

Upon provision, User Feedback will immediately become the exclusive property of MyTransit, and you agree that the provision of User Feedback does not grant you any intellectual property rights or any other rights, title, or interest in or to any features, software, inventions, or other assets created by MyTransit, even if such User Feedback leads MyTransit to create the features, software, inventions, or other assets. You permanently and irrevocably assign to MyTransit all your rights, ownership, and interest in any User Feedback, and you relinquish any intellectual property rights or other rights that you or anyone acting on your behalf may have regarding that User Feedback.

15. Disclaimer of Warranties

BY USING THE SERVICE, YOU AGREE TO THESE TERMS AND FULLY UNDERSTAND AND ACCEPT THAT MYTRANSIT, ALONG WITH ITS AFFILIATES, INCLUDING BUT NOT LIMITED TO OUR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUBCONTRACTORS, SUBSIDIARIES, AND AGENTS (COLLECTIVELY “MYTRANSIT”), PROVIDE THE SERVICE ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND DO NOT WARRANT OR MAKE ANY REPRESENTATIONS ABOUT THE SERVICE OR THE INFORMATION AVAILABLE THROUGH OR IN CONNECTION WITH THE SERVICE REGARDING ITS USE, PERFORMANCE, ACCURACY, QUALITY, RELIABILITY, SECURITY, COMPLETENESS, AVAILABILITY, EFFECTIVENESS OR SUITABILITY FOR ANY SPECIFIC NEEDS OR PURPOSES. THE SERVICE IS PROVIDED WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, SUITABILITY FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

YOU AGREE AND ACKNOWLEDGE THAT YOUR USE OF THE SERVICE, INCLUDING ANY RELIANCE OR DEPENDENCE ON THE INFORMATION AVAILABLE THROUGH THE SERVICE, IS SOLELY AT YOUR OWN RISK, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. MYTRANSIT IS NOT LIABLE FOR ANY ACTIONS YOU TAKE BASED ON THE SERVICE OR FOR ANY LOSS OR DAMAGE THAT MAY RESULT FROM SUCH USE. FURTHERMORE, MYTRANSIT IS NOT RESPONSIBLE FOR ANY ISSUES ARISING FROM THE USE OF THE SERVICE, INCLUDING ITS PERFORMANCE, FUNCTIONALITY, AVAILABILITY, CORRECTNESS, COMPLETENESS, OR ACCURACY, NOR FOR ANY FAILURES THAT MAY IMPACT YOUR PLANNED ACTIVITIES, DECISION-MAKING, OR RELIANCE ON THE SERVICE FOR TRANSIT-RELATED DECISIONS OR ANY OTHER EXPECTED OUTCOMES. YOU ARE RESPONSIBLE FOR ENSURING THAT ALL ACTIONS TAKEN IN CONNECTION WITH THE SERVICE ARE SAFE, LEGAL, AND APPROPRIATE FOR YOUR CIRCUMSTANCES.

MYTRANSIT DOES NOT MAKE ANY WARRANTIES REGARDING: (A) THE SERVICE’S FUNCTIONALITY INCLUDING ITS CONTINUOUS, UNINTERRUPTED, TIMELY, OR SECURE OPERATION; (B) THE INTEGRITY AND ACCURACY OF DATA, INCLUDING THE CONTENT, USER-GENERATED CONTENT, AND ANY OTHER INFORMATION AVAILABLE THROUGH THE SERVICE; (C) THE ABSENCE OF ERRORS, VIRUSES, WORMS, OR OTHER MALICIOUS ELEMENTS WITHIN THE SERVICE OR ITS UNDERLYING INFRASTRUCTURE.

MYTRANSIT RESERVES THE RIGHT, AT OUR SOLE DISCRETION, TO UPDATE, CHANGE, MODIFY, ADD, OR REMOVE PORTIONS OF THE SERVICE OR INFORMATION AVAILABLE THROUGH IT AT ANY TIME WITHOUT PRIOR NOTICE. CHANGES MAY INCLUDE, BUT ARE NOT LIMITED TO, MODIFICATIONS TO FEATURES, AVAILABILITY OF INFORMATION, OR THE TEMPORARY OR PERMANENT DISCONTINUATION OF CERTAIN ASPECTS OF THE SERVICE. YOU HEREBY ACKNOWLEDGE THAT THESE CHANGES MAY OCCUR AND THAT MYTRANSIT IS NOT LIABLE FOR ANY CONSEQUENCES THAT MAY RESULT FROM SUCH CHANGES.

16. Indemnity

You agree to indemnify, defend, and hold MyTransit, along with its affiliates, including officers, directors, shareholders, employees, subcontractors, subsidiaries, partners, and agents, harmless from and against any and all claims, damages, losses, obligations, liabilities, costs, debts, fines, fees (including cancellation and late fees), and expenses (including legal fees) that may arise, whether directly or indirectly, from: (a) Your use of the Service or any part thereof; (b) Your use of content and information provided by the Service; (c) Your use of User Content; (b) Any violation or breach of these Terms by you; (e) Your breach or violation of any applicable laws or regulations; (c) Any harm, damage, or injury, whether direct, indirect, special, or consequential, caused to third parties due to your use or inability to use the Service; (d) Your infringement or violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or other proprietary rights, in connection with your use of the Service or the submission of information to the Service (including failure to obtain required consents).

This indemnity applies regardless of the negligence of any party, including any indemnified person. You will not agree to any settlement on behalf of any Indemnified Party that includes any payment obligations or admissions of liability, whether civil or criminal, without MyTransit's prior written consent.

MyTransit reserves the right to assume the exclusive defense and control of any matter subject to indemnification under this section. In such cases, you agree to cooperate with MyTransit’s defense of such claims, including responding to any reasonable requests for assistance.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL MYTRANSIT OR ITS AFFILIATES, INCLUDING BUT NOT LIMITED TO OUR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUBCONTRACTORS, SUBSIDIARIES, PARTNERS, AND AGENTS (COLLECTIVELY “MYTRANSIT”), BE HELD RESPONSIBLE FOR ANY DAMAGES OF ANY KIND, WHETHER DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR OTHERWISE, ARISING FROM OR RELATED TO THE USE, MISUSE, OR INABILITY TO USE THE SERVICE. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FROM RELIANCE ON THE INFORMATION PROVIDED WITHIN THE SERVICE, FAILURES OF THE SERVICE, LOST DATA, LOST PROFITS, LOSS OF GOODWILL, PERSONAL INJURY, BUSINESS INTERRUPTIONS, OR DAMAGES RESULTING FROM THE CONDUCT OF OTHER USERS, THIRD PARTIES, OR EVENTS SUCH AS CIVIL DISTURBANCE, WAR, NUCLEAR ACCIDENTS, TERRORIST ACTIVITY, FORCE MAJEURE, OR ANY OTHER ACTS BEYOND OUR REASONABLE CONTROL.

YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE A FUNDAMENTAL PART OF THE TERMS UNDER WHICH MYTRANSIT PROVIDES THE SERVICE, AND REPRESENT AN AGREED ALLOCATION OF RISK, WHICH IS REFLECTED IN THE TERMS UNDER WHICH THE SERVICE IS MADE AVAILABLE, WHETHER FREE OR PAID. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE DAMAGES ARISE FROM BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF MYTRANSIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHERMORE, THESE LIMITATIONS WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.

IN NO EVENT WILL MYTRANSIT'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE 12 MONTHS PRIOR TO THE EVENT THAT GAVE RISE TO THE CLAIM, OR $100, WHICHEVER IS LESS, OR THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW. NO ACTION, WHETHER FOR BREACH OF THESE TERMS OR FOR ANY OTHER CLAIM RELATED TO THE SERVICE, MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS ARISEN. BY ACCEPTING ANY REMEDY PROVIDED BY MYTRANSIT, WHETHER IN THE FORM OF A REFUND, CREDIT, OR OTHER COMPENSATION, YOU AGREE THAT SUCH REMEDY CONSTITUTES FULL AND FINAL SETTLEMENT OF ANY CLAIMS RELATED TO THE ISSUE FOR WHICH THE REMEDY IS PROVIDED, AND YOU WAIVE THE RIGHT TO PURSUE ANY ADDITIONAL CLAIMS, INCLUDING BUT NOT LIMITED TO THOSE RELATED TO THE $100 LIMIT, FEES PAID DURING THE 12 MONTHS PRIOR, OR ANY OTHER LIABILITY CAPS OUTLINED IN THESE TERMS.

THE LIMITATION OF LIABILITY OUTLINED HEREIN SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

18. Termination and Survival

MyTransit reserves the right, at its sole discretion, to restrict, suspend, block, or terminate your access to all or any part of the Service at any time and for any reason without prior notice or liability, including but not limited to, cases where MyTransit deems that you have breached any of these Terms. This includes the right to modify, suspend, discontinue, or cease the operation of all or any part of the Service, including User Content, temporarily or permanently. You agree and acknowledge that MyTransit assumes no responsibility for, or in connection with, any termination, restriction, suspension, or blocking of the Service’s operation and any loss of data or other consequences that may result from such actions.

The following provisions will remain in effect even after the termination or expiration of these Terms: Section 1 (Privacy Policy), Section 6 (Eligibility Requirements), Section 7 (Restrictions & Prohibited Activities), Section 8 (Intellectual Property), Section 11 (User Provided Content), Section 13 (Governing Language), Section 14 (User Feedback), Section 15 (Disclaimer of Warranties), Section 16 (Indemnity), Section 17 (Limitation of Liability), Section 18 (Termination and Survival), Section 19 (Miscellaneous).

19. Miscellaneous

These Terms, along with our Privacy Policy, constitute the entire agreement between you and MyTransit regarding the use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and MyTransit. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. MyTransit's failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver must be in writing and shall not imply a waiver of any other or subsequent breaches.

The section headings in these Terms are for convenience only and have no legal or contractual effect. These Terms do not create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and MyTransit. You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without the prior written consent of MyTransit.

Notices to you may be made via email, regular mail or via the Service. MyTransit may also provide notices of changes to these Terms or other matters by displaying such notices or providing links to them on the Service. You agree that a printed version of these Terms and any electronic notice will be admissible in judicial or administrative proceedings to the same extent and under the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms will be binding upon and inure to the benefit of MyTransit's successors, assigns, licensees, and sublicensees.
